Professional Marketplace Agreement
1. Independent Business Relationship
You participate in The Proper Handyman as an independent business or self-employed service provider. Nothing in this Agreement creates employment, joint employment, agency, partnership, franchise, or joint venture between you and The Proper Handyman.
You choose whether to respond to opportunities, which projects to accept, your pricing, schedule, methods, tools, personnel, and manner of performing work. You are not entitled to wages, overtime, benefits, workers’ compensation coverage, unemployment benefits, reimbursement, or other employee benefits from The Proper Handyman.
This clause describes the intended relationship between the parties and does not override any legal classification rule that applies under California or other applicable law.
2. Licensing, Insurance, Taxes, and Compliance
You are solely responsible for determining and satisfying every legal requirement that applies to the services you advertise, quote, or perform, including contractor or trade licensing, registrations, permits, bonds, insurance, workers’ compensation obligations, employment rules, taxes, business licenses, and written-contract requirements.
You must not advertise, offer, contract for, or perform work that you are not legally authorized to perform. You must accurately describe any license or insurance status and promptly update the Platform if a credential expires, is suspended, changes, or is no longer valid.
3. Professional Membership
The professional membership currently includes a 7-day free trial. Unless canceled before the trial ends, it converts to a paid subscription of $29.99 per month and renews monthly until canceled. Applicable taxes may be added where required.
Membership provides access to Platform features and opportunities; it does not guarantee leads, responses, revenue, hires, a particular number of projects, or any return on the subscription fee.
Cancellation instructions are provided at enrollment and through any billing, account, or support method made available by The Proper Handyman. Cancellation stops future renewals. Fees already charged are generally nonrefundable except where required by law or expressly stated otherwise.
4. Opportunities and Quotes
Project listings are provided for informational and marketplace purposes. You are responsible for evaluating whether a project is appropriate, lawful, safe, within your competence and service area, and within any licensing or permit requirements that apply.
You control your quotes and may decline any opportunity. Quotes must be accurate and made in good faith. You must clearly communicate material assumptions, exclusions, deposit terms, material costs, changes, and any other terms needed to avoid misleading the homeowner.
5. Direct Contracts With Homeowners
If a homeowner selects you, the service contract is directly between you and that homeowner. The Proper Handyman is not a party to that contract and does not supervise, direct, warrant, insure, or guarantee your work.
You are responsible for project scope, safety, employees or subcontractors, tools, materials, property protection, permits, inspections, payment collection, refunds, warranties, taxes, injuries, damage, and compliance with all applicable laws. Where the law requires a written contract, notice, disclosure, change order, or cancellation right, you are responsible for providing it.
Unless the Platform expressly introduces a separate payment feature, payment for project work is arranged directly between you and the homeowner.
6. Verification and Profile Accuracy
You authorize The Proper Handyman to request and review information reasonably related to identity, business status, licensing, insurance, and marketplace trust and safety. You agree that information and documents you submit are authentic, current, and not misleading.
A verification badge or status is a Platform process, not an endorsement, guarantee of workmanship, legal opinion, or promise that your credentials remain current. We may request updated documents or remove a verification status when information expires or cannot be confirmed.
7. Professional Conduct
You agree to communicate professionally; respect property and privacy; avoid harassment and discrimination; follow safety requirements; honor agreed project and payment terms; maintain accurate profile information; and refrain from fraudulent, deceptive, illegal, or abusive conduct.
You may not manipulate reviews, impersonate another person or business, submit false credentials, misuse homeowner contact information, or use the Platform to facilitate unlawful work.
8. Responsibility, Disputes, and Indemnification
You are responsible for claims arising from your services, acts, omissions, personnel, subcontractors, equipment, materials, representations, contracts, and legal compliance. Project disputes are primarily between you and the homeowner.
To the extent permitted by law, you agree to defend, indemnify, and hold harmless The Proper Handyman and its owners, officers, employees, and service providers from third-party claims, damages, liabilities, losses, and reasonable legal expenses arising from your services, your breach of this Agreement, your violation of law, your content, or your acts or omissions, except to the extent caused by The Proper Handyman’s own conduct for which indemnification cannot lawfully be required.
The liability limitations and warranty disclaimers in the Terms of Service also apply to your professional use of the Platform.
9. Suspension, Termination, and Updates
We may suspend or terminate professional access for nonpayment, suspected fraud, expired or misleading credentials, safety issues, repeated serious complaints, violations of law or these agreements, or other reasonable trust-and-safety concerns. You may stop using the Platform at any time, subject to any subscription cancellation process and obligations already owed to homeowners.
We may update this Agreement as the Platform or applicable requirements change. Material changes will be communicated as required by applicable law.
